PrimeUI Commercial License

This license governs your use of PrimeUI commercial software (“the Software”), including the PrimeUI Commercial Suite and standalone PrimeUI Pro components. PrimeTek Informatics (“PrimeTek”) owns the Software and grants you a license under the terms below. By purchasing or using the Software, you agree to these terms.

Who Needs a License

The Software is licensed per developer. Every individual who writes, modifies, or maintains code that uses the Software needs a license seat, whether they are an employee, contractor, or freelancer.

Individuals who do not work directly with the Software (such as designers who do not touch code, project managers, or QA staff who only run finished applications) do not need a seat. Seats are counted by who actually builds with the components, not by the total size of your team.

If your organization builds an internal wrapper, design system, or abstraction layer on top of the Software, developers who build applications on that layer do need a seat, because the wrapper contains the Software and building on it is building with the Software. The abstraction layer does not remove the licensing requirement.

Continuous integration and delivery (CI/CD) pipelines, build servers, and other automated environments do not require their own seat. A licensed developer’s work may be built by any number of automated pipelines without additional licensing. Because license verification is performed entirely offline with no network connection, it works without issue in CI/CD, containerized, and air-gapped build environments.

If your team has five developers building with the Software, you need five seats. A single seat covers one developer at a time.

Seats are not tied to named individuals. You may reassign a seat to a different developer at any time, for example when someone leaves or moves off the project. Assigning developers by name at the PrimeUI Store is optional and offered only as a convenience for managing your team. A seat may not, however, be shared between multiple active developers at the same time; each developer building with the Software concurrently needs their own seat.

Your License

PrimeTek grants you a non-exclusive, worldwide, perpetual license to use the Software to build applications, subject to these terms.

1. Each license seat covers one developer at a time and can be reassigned to another developer as your team changes.
2. A licensed developer may build an unlimited number of applications with the Software.
3. There are no royalties, runtime fees, or per-deployment charges. Once your developers are licensed, you may deploy your applications to any number of end users at no additional cost.
4. Your license includes one year of updates from the date of purchase. You receive all new versions released during this period.
5. Your right to use the versions released during your active update period is perpetual. When your update period ends, you may continue using those versions indefinitely.
6. Renewal is optional. Renewing restores access to new versions and updates released after your update period ended.

What You Can Do

• Build unlimited commercial and non-commercial applications.
• Sell the applications you build and distribute them to unlimited end users.
• Build SaaS products, internal tools, client projects, and commercial software.
• Modify, configure, and extend the Software within your applications.
• Assign a license seat to a contractor or freelancer working on your projects.
• Reassign a seat to a different developer when the original developer leaves your organization or no longer works with the Software.
• Keep backup and archival copies of the Software.

Examples of permitted use:

• A company building a commercial SaaS application its customers pay to use.
• An agency building applications for multiple clients (each developer licensed).
• A team building internal enterprise tools.
• A developer selling a self-hosted application to customers.

What You Cannot Do

• Redistribute the Software for others’ development. You may not distribute the Software, in source or component form, so that your customers or end users can build their own applications with it. This includes low-code platforms, white-label products that deliver components to customers, application builders, and developer SDKs. This use requires a separate OEM License.
• Share seats among concurrent developers. A seat covers one developer at a time. While you may reassign a seat when a developer leaves or moves off the work, you may not share a single seat among multiple developers building with the Software at the same time, or cycle seats on a short-term basis to cover more concurrent developers than you have licensed. Each developer working with the Software concurrently requires their own seat.
• Reverse-engineer the Software. You may not decompile, disassemble, reverse-engineer, or attempt to extract or derive the source code of the compiled packages.
• Redistribute the Software on its own. You may not make the Software available as-is, bundled, or with superficial modifications, for others to use as a component library or development tool.
• Remove license mechanisms. You may not circumvent, disable, or tamper with the license verification system or any license notices.
• Use the Software unlawfully. You may not use the Software to build applications that violate applicable laws or regulations.

Standalone PrimeUI Pro Components

PrimeUI Pro components purchased individually are governed by this same Commercial License with the following clarifications:

• Each standalone Pro component is licensed per developer, perpetual, with one year of updates.
• Standalone Pro components do not depend on PrimeUI core libraries.
• A standalone Pro component license does not require a PrimeUI Commercial Suite license.
• All “What You Can Do” and “What You Cannot Do” terms above apply equally to standalone Pro components.

Site License

For larger organizations, or teams whose composition changes frequently, a Site License covers all of your developers without counting individual seats. Instead of licensing each developer, you license a defined organization or division under a single agreement, and everyone within that scope may build with the Software.

• No seat counting. All developers within the licensed scope are covered, regardless of how many there are or how the team changes over time. This suits large teams and teams that rotate developers on and off frequently.
• Defined scope. A Site License covers a specific legal entity or division that we agree on. Coverage across multiple entities or an entire corporate group can be arranged as part of the agreement.
• Annual term. The Site License is an annual subscription that includes updates and Premium Support for the term. This differs from our per-developer license, which is perpetual.
• What happens on expiry. An active Site License is required for ongoing development. Applications you have already deployed continue to run after the term ends, but they cannot be rebuilt or republished without an active license, so the license must be renewed to continue development. Teams that prefer permanent rights to the versions they receive can license per developer instead.
• Multi-year terms. Site Licenses can be arranged for multiple years at a reduced annual rate, with the rate locked for the term. Renewal pricing is guaranteed not to increase by more than 5% over your current rate. Multi-year terms are invoiced each year at the locked rate, so there is no large upfront payment, and your rate is fixed for the full term.
• Same contents. A Site License includes the full Commercial Suite (PrimeNG, PrimeReact, PrimeVue, PrimeBlocks, Theme Designer, and PrimeUI Pro components) and the Premium Support Portal.
• Does not include redistribution. A Site License covers your organization’s own developers building your own applications, including applications you deliver to customers. It does not cover cases where third parties build with the components themselves, for example through an SDK, plugin framework, or low-code or app-building product that exposes the components to your customers. That requires a separate OEM License, which can be added alongside a Site License.

What’s Included

Commercial Suite includes PrimeNG, PrimeReact, and PrimeVue, PrimeBlocks, Theme Designer, all PrimeUI Pro components released within your update period, and access to the Premium Support Portal.

Standalone Pro components include the individual component purchased and access to the Premium Support Portal for that component.

Distribution and License Keys

Commercial versions of the Software are distributed as compiled packages. License verification is performed offline using digital signatures, with no remote connection, telemetry, or phone-home requirement.

The license key may appear in your application bundle and contains no sensitive data, so it needs no special protection. You may not, however, publicly publish or distribute your key for others to use to avoid their own license. A missing, invalid, or expired license key may cause the Software to display a license notice at development time. It does not display any notice in, or otherwise affect, your deployed application at runtime.

Updates and Support

Your license includes one year of updates and access to the Premium Support Portal, with the ticket allowance and response terms described in your purchase and on our support pages.

When your update period ends, you retain perpetual use of the versions you received. Renewal restores access to new versions and continued support.

Ownership

PrimeTek Informatics retains all ownership and intellectual property rights in the Software. This license grants you the right to use the Software as described and does not transfer ownership. You retain full ownership of the applications you build with the Software.

Termination

This license may be terminated if you breach its terms. Upon termination, you must stop using and distributing the Software in any new development. Applications already deployed with versions you were licensed to use are not affected.

Limitation of Liability

To the maximum extent permitted by law, PrimeTek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising from the use of the Software.

Modification of Terms

PrimeTek may modify these terms at any time. Changes apply to purchases and continued use after the revised terms are published. We make reasonable efforts to notify users of material changes, but you are responsible for reviewing the terms periodically.

Modifications do not affect your right to use versions of the Software you have already received. Future updates, support, and services are governed by the terms in effect at that time.
