PrimeUI OEM License

This license governs the redistribution of PrimeUI software (“the Software”) to third parties for their own development. PrimeTek Informatics (“PrimeTek”) owns the Software and grants OEM redistribution rights under the terms below. The OEM License is a custom agreement; the terms here describe the standard model, and specific scope is defined in your signed OEM agreement.

When You Need an OEM License

A standard Commercial License lets you build and deploy your own applications, including shipping the compiled Software inside applications you distribute to your end users. This does not require an OEM License.

You need an OEM License when you distribute the Software so that third parties can develop with it themselves. This includes:

• Low-code or no-code platforms where your customers build applications using the Software
• White-label or reseller products that deliver the Software’s components to your customers for their own development
• Application builders, page builders, or design tools where end users compose interfaces using the Software
• Developer SDKs, frameworks, or toolkits that expose the Software to your customers as a development surface
• Any product that allows your customers to extract, reference, or build with the Software outside the boundaries of a finished application

The distinction is simple: building and selling your own application is covered by a Commercial License. Enabling others to develop with the Software requires an OEM License.

How OEM Licensing Works

The OEM License is offered as an add-on to a Commercial License and is structured as a flat annual fee, not a perpetual license.

• The OEM License grants redistribution rights for the scope defined in your signed agreement.
• Redistribution rights are valid for the annual term and must be renewed to continue distributing the Software to new customers.
• The underlying Commercial developer licenses remain perpetual under their own terms.
• OEM agreements are custom-scoped per use case and are arranged through direct contact with PrimeTek, not through the online store.

What an OEM License Includes

The OEM License covers redistribution rights only. Your own development team is licensed separately under a Commercial Per-Developer or Commercial Site License, which carries the product entitlements, updates, and support. The two are separate and additive.

• The right to embed and redistribute the Software within the OEM product named in your agreement
• The components licensed for redistribution, as defined in your agreement
• All versions and updates released during the term
• A single embedded OEM key, issued separately from your internal license key

The two licenses run on their own terms and may be renewed or allowed to lapse independently.

What You Can Do (within the agreed scope)

• Distribute the Software to your customers as part of your platform or product, so that they can develop with it.
• Include the Software in a low-code platform, white-label product, SDK, or application builder.
• Provide your customers with the ability to build their own applications using the Software, within the boundaries of your OEM agreement.

The specific products, distribution channels, customer types, and volume covered are defined in your signed OEM agreement.

What You Cannot Do

• Exceed the agreed scope. Redistribution is limited to the products, channels, and use defined in your OEM agreement. Distribution outside that scope is not licensed.
• Sublicense beyond the agreement. Your customers receive the right to use the Software within your product as defined by your agreement. They do not receive independent redistribution rights.
• Redistribute the Software as a standalone competing product. You may not repackage the Software, with or without modification, and offer it as a competing component library, UI toolkit, or development tool.
• Onboard new customers after expiry. When the OEM term ends, you may not onboard new downstream customers, embed the Software in a new product, or redistribute versions you did not receive during the term. See Continuity After Expiry below for what does continue.
• Reverse-engineer the Software. You may not decompile, disassemble, reverse-engineer, or attempt to extract the source code of the compiled packages.
• Remove or alter license mechanisms beyond what is expressly agreed for your distribution model.

Continuity After Expiry

An OEM License is a commitment to your own customers as well as to us, so expiry does not leave you unable to meet it. If your OEM term ends and is not renewed, the following continue indefinitely:

• You retain the right to rebuild and republish the OEM product named in your agreement, using the versions of the Software you received during the term.
• Your downstream customers existing at the date of expiry retain the right to continue developing, maintaining, and rebuilding their applications, plugins, and extensions using those versions.
• Applications and products already built and deployed continue to run, and nothing is displayed or disabled in them.

These continuity rights are limited to what existed at expiry. They do not allow you to:

• Onboard new downstream customers
• Embed the Software in a new product
• Obtain or redistribute versions of the Software not received during the term

Support ends with the term. Unused capacity within your agreed scope does not carry forward. To resume any of the above, an active OEM License is required.

Standalone Pro Components

OEM rights for individual PrimeUI Pro components are available on the same model. A Pro OEM agreement covers redistribution of the specific component, scoped to your use case, as a flat annual fee. The same redistribution boundaries and restrictions apply.

Ownership

PrimeTek Informatics retains all ownership and intellectual property rights in the Software. The OEM License grants redistribution rights as defined in your agreement and does not transfer ownership. You retain ownership of your own platform or product; PrimeTek retains ownership of the Software distributed within it.

Support

Support for your own development team is provided under your Commercial Per-Developer or Commercial Site License. The OEM License carries no separate support entitlement unless agreed otherwise.

PrimeTek does not provide support directly to your downstream customers. Supporting them in respect of your product, including the embedded Software, is your responsibility.

Limitation of Liability

To the maximum extent permitted by law, PrimeTek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising from the use or redistribution of the Software.

Term, Renewal, and Termination

The OEM License is valid for the annual term defined in your agreement and renews by mutual agreement. Multi-year terms may be arranged at a discounted, locked annual rate. Renewal pricing for the same scope is guaranteed not to increase by more than 5% over your current term. This license may be terminated if you breach its terms or exceed the agreed scope. On termination or expiry, the continuity rights described above apply, and you may not onboard new downstream customers or redistribute the Software beyond that scope until you renew.

Modification of Terms

The standard OEM terms may be updated over time, but your signed OEM agreement governs your specific rights for its term. Material changes are addressed at renewal.
